I actually couldn't find a link with step by step instructions. Most of the themes come with a readme file that helps, but here are generic readme instructions. They might vary depending on how the theme you upload was coded though:
1. After downloading the Theme unpack it (with WinRAR or WINZIP for example)
2. Go to the Admin Control Panel under Themes > Import
3. Search the XML File in the theme folder and click the Button "Import Theme"...you might need to click the ignore compatibility button.
4. Upload the theme folder to your image folder in your forum directory
