I uploaded the plugin an extracted it in to forums/inc/plugins so it looks like this:

First off this is really the wrong section for this So I've moved it for you.

But in terms of what your doing wrong you need to upload the contents of 1.2/files to your MyBB install.

So you need to copy/move:
1.2/files/admin to forums/admin
and
1.2/files/inc to forums/inc

If you want it really specific you should have the following:

forums/admin/modules/tools/mybbatically.php
forums/inc/plugins/mybbatically.php
forums/inc/languages/english/admin/mybbatically.lang.php
