Have you unzipped the files yet? There should be a readme included. That will give you the basic info needed.

May I ask what is the basic file structure of the folder?
ie: images, themename, themename-theme.xml
Or better yet what is the the theme and what is the download link? Knowing these things may help in instructing you correctly.., as many themes have special but simple ways to install them.
