There should be a readme in the download file. If not: upload the images, and import the .xml file from your admin cp.

Just upload the images inside the zipfile to the /images folder. The xml goes into the admin cp. Themes > import

You can upload the images to to the image folder through an FTP program.
You can upload the .xml file through the Admin CP. Go to Themes>Import
