So I'm duplicating my forum and converting it to 1.4 so I can test things out, but there's a problem,
When I go into the Admin CP and succesfully log in, as soon I click anywhere else, it logs me out. Is there anything I can do to fix this?

Clear your cookies and make sure your cookie settings are correct.

Right, but I can't change the cookie settings. It wont let me. As soon as I click anything in the Admin panel it logs me out
I don't get how you can upgrade it.
You've got one forum.
1.2 and it uses a database
You then copy the forum folder to another location
This new copy of 1.2 uses the same database
So then you upgrade the new one to 1.4
Won't it delete all your database tables?
No, because you copy the database as well and set the copied forum to use the copied database.
