I like it. The welcomblock is a bit trimmed down though, have a look at IPB's.
And I would definitely like to see an IPB3 theme. But make sure to get permission first.

And long as the code is different it doesn't matter.
I'm not using any original code / images so I should be fine.
Screw what others think, this is one of the best themes I have seen for MyBB in a while.
