What do you want to change? The text itself or the appearence? You can find the text in the language file global.lang.php:

$l['welcome_back'] = "<strong>Welcome back, {1}</strong>. You last visited: {2}";

If you want to change the layout you have to change the settings for the welcome panel in the theme settings. The templates used are called welcomeblock, welcomeblock_member and welcomeblock_admin.
