How to upload a newly downloaded theme?
do we have to extract the rar file and again zip it?

Place the image folder (most of the time its the name of the theme) to your_root/images
then go to ACP>templates and style>themes>import theme> click browse and find the .xml file.
name it. then tick ignore version compatability.

Edit : not seen above response Smile

after extracting , you should get a folder / sub-folder with theme name which consists of images used.

upload that specific folder to ./images folder on the server . then on themes page, to import the theme,
you have to select the theme's xml file from your computer (from folder of extracted theme) ...

Wow thanks a lot both of uou , theme installed well and its working fine..........
one more question will the site become slow if we add theme??

No not unless the theme is rigged with jscripts and php. It should work the same as the default theme.

Upload the folder that contains the images to your images directory on your web host. Go to the Admin CP and go to Templates and Style then Import a theme. Upload the .xml file provided, don't input a name and check Ignore version compatibility.

Once saved, it will automatically name the theme, you can then go to Themes and make it the active theme.
