[Upgrading] Uploading Zipped Upload Folder

I use cpanel..

If i zip the contents of the upload folder and then upload that to my forums main folder and then unzip the upload folder...the contents will distribute accordingly correct?

..and then just run the install process.

Is this one way to upload & upgrade our forums?

Yes you can just use cPanel's unzip feature or if your hosting allows you can upload via FTP. Then you just have to go to the forum's uploaded directory and install it.
No you don't delete inc/settings.php at all.
