Well, I have some themes on my forum and I want to know, how can I upgrade the theme.

Or have to remove the Old theme and Import the new?

What do you mean by 'upgrade' a theme...?? What's changed in it??

Well, if I change a theme and make the changes offfline, how can I reupload to overwrite the existing theme?

Do you just want to upload a new theme?

If you've edited the stylesheet, and the copy you've been editing is a complete version of the stylesheet, you can just put your edited code into the box for global.css

export the edited theme and import into your online forum simple as that.
